Participation and Service Agreement

1. Parties and Object of the Agreement
This Participation and Service Agreement (hereinafter, the “Agreement”) is entered into between TradeLink Funding LLC, a company incorporated and operated in accordance with the laws of the State of Florida, United States (hereinafter, the “Company”), and the registered user who acquires any of the evaluation plans (Starter, Pro, or Elite) or uses the platform’s services (hereinafter, the “Participant” or “Trader”).
The purpose of this Agreement is to regulate the terms, conditions, mutual rights, and obligations under which the Participant accesses simulation software, analytical evaluation tools, and performance bonus programs offered by the Company.
2. Non-Financial Nature of the Service
- Demonstration Environment: The Participant expressly acknowledges and agrees that all services provided by the Company consist exclusively of access to educational technology tools, software development, and market simulation environments (Demo).
- Absence of Brokerage Intermediation: The Company does not act as a broker-dealer, credit institution, investment advisor, or receiver of financial deposits. No sum paid to the Company constitutes a capital deposit, an investment in securities, or a participation in third-party funds.
3. Plan Acquisition and Software Access
Available Plans: The Company offers three (3) evaluation plans with the following simulated configuration parameters and bonus structure (all amounts in USD):

Plan Duration: Each evaluation plan has an initial duration of thirty (30) calendar days for the Examination Phase. Once this period elapses without achieving the required objectives, the plan will automatically expire without the right to automatic extension.
4. Risk Management Rules and Operating Parameters
The Participant commits to strictly and unbreakably comply with the risk control rules established by the Company within the simulated environment:
- Daily Loss Limit: Maximum allowable loss of 4% on the initial account capital within the same calendar day. Hitting this limit generates the automatic closure and interruption of the account.
- Total Loss Limit (Drawdown): Maximum accumulated loss of 8% on the initial account capital. Hitting this limit results in the definitive termination of the simulated account.
- Minimum Activity Requirement: The Participant must record at least 10 days of active trading within each monthly cycle to comply with account maintenance and reward eligibility criteria.
5. Phases, Monthly Cycles, and Performance Rewards
- Examination Phase (Phase 1): The Participant has 30 days to achieve a simulated profit target of 10% on the initial capital, rigorously respecting the risk limits of 4% daily and 8% total.
- Funding Phase / Working Month (Phase 2): Upon passing the Examination Phase, the Participant accesses an equivalent simulated account and enters a monthly working cycle.
- Performance Bonus Issuance: At the end of each monthly cycle, if the Participant achieves the 10% simulated profit target, complies with the 10 minimum trading days, and observes all risk rules, they will receive the corresponding performance economic reward ($120, $210, or $300).
- Cycle Reset and Operational Grace Regime:
- Simulated profit counters will reset to zero ($0) at the end of each month.
- Exceptional Operational Grace Extension (one additional consecutive month): If at the end of the corresponding monthly cycle the Participant fails to achieve the 10% profit target, the account will not be closed provided that cumulatively: (i) the account remains active without breaching established risk limits (4% daily loss and 8% total loss), and (ii) has recorded a minimum of ten (10) active trading days within the period. Upon fulfilling these requirements, the Company will grant an exceptional single (1) additional consecutive grace month, proceeding to reset the simulated profit counter for a new operating cycle at no additional cost. However, if by the end of this additional grace month the Participant still fails to achieve the 10% profit target, the cycle will definitively conclude, the account will be terminated, and the Participant will be obliged to acquire a new plan (pay another evaluation) if they wish to continue on the platform. This grace extension is non-extendable and applies only once (1) per evaluation cycle.
- Accounts remaining in total inactivity without recording trades for thirty (30) consecutive days will be definitively archived.
6. Method and Form of Reward Payment
Performance rewards legitimately generated in the Funding Phase will be paid exclusively in USDC (USD Coin) via the Base network. The Participant assumes full responsibility for the accuracy of the digital wallet address provided to the Company, releasing the latter from any liability derived from network errors or recipient designation errors.
7. Prohibitions and Grounds for Breach
The use of dishonest practices, unauthorized third-party automation, latency arbitrage, software technical exploit exploitation, or price manipulation is strictly prohibited by the Participant. The detection of any of these behaviors will constitute a material breach of this Agreement and will result in the immediate cancellation of the account, without the right to compensation or refund of the initial fee.
8. Applicable Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of the State of Florida, United States, without giving effect to any principles of conflicts of law. Any dispute, controversy, or claim arising from the execution or interpretation of this document shall be submitted to the exclusive jurisdiction of the competent courts located in the State of Florida.
